1 Overeenkomst, offerte en bevestiging

1.1 Deze algemene voorwaarden (hierna: Algemene Voorwaarden) zijn van toepassing op alle offertes en de totstandkoming, de inhoud en de nakoming van alle tussen de opdrachtgever en de opdrachtnemer (hierna: ontwerper) gesloten overeenkomsten. Afwijkingen op deze Algemene Voorwaarden kunnen slechts schriftelijk overeengekomen worden tussen opdrachtgever en ontwerper.

1.2 Offertes zijn vrijblijvend en zijn 2 maanden geldig. Prijsopgaven kunnen wijzigingen ondergaan door een onvoorziene verandering in de werkzaamheden. Prijzen zijn exclusief BTW. Genoemde tarieven en aanbiedingen gelden niet automatisch voor toekomstige opdrachten. De opdrachtgever staat in voor de juistheid en volledigheid van de door of namens haar aan de ontwerper verstrekte gegevens waarop de ontwerper de offerte baseert.

1.3 Opdrachten worden schriftelijk door de opdrachtgever bevestigd. Wanneer de opdrachtgever dit nalaat, maar er desondanks mee instemt dat de ontwerper begint met het uitvoeren van de opdracht, dan geldt de inhoud van de offerte als overeengekomen en zijn deze Algemene Voorwaarden van toepassing. Nadere mondelinge afspraken en bedingen binden de ontwerper pas nadat deze schriftelijk door de ontwerper zijn bevestigd.

2 De uitvoering van de overeenkomst

2.1 De ontwerper spant zich ervoor in om de opdracht zorgvuldig en onafhankelijk uit te voeren, de belangen van de opdrachtgever naar beste weten te behartigen en te streven naar een voor de opdrachtgever bruikbaar resultaat, zoals van een redelijk en professioneel handelende ontwerper kan en mag worden verwacht. Voor zover noodzakelijk zal de ontwerper de opdrachtgever op de hoogte houden van de voortgang van de werkzaamheden.

2.2 De opdrachtgever doet al datgene, wat redelijkerwijs nodig of wenselijk is om een tijdige en juiste levering door de ontwerper mogelijk te maken, zoals het tijdig (laten) aanleveren van volledige, deugdelijke en duidelijke gegevens of materialen, waarvan ontwerper aangeeft of waarvan de opdrachtgever begrijpt of redelijkerwijs dient te begrijpen, dat deze noodzakelijk zijn voor het uitvoeren van de overeenkomst.

2.3 Een door de ontwerper opgegeven termijn voor het uitvoeren van de opdracht is indicatief, tenzij anders schriftelijk overeengekomen.

2.4 Tenzij anders overeengekomen, behoren niet tot de opdracht van de ontwerper: a. het uitvoeren van tests, het aanvragen van vergunningen en het beoordelen of instructies van de opdrachtgever voldoen aan wettelijke of kwaliteitsnormen; b. het doen van onderzoek naar het bestaan van rechten, waaronder octrooirechten, merkrechten, tekening- of modelrechten, auteursrechten of portretrechten van derden; c. het doen van onderzoek naar de mogelijkheid van de in sub b. bedoelde mogelijke beschermingsvormen voor de opdrachtgever.

2.5 Voordat tot uitvoering, productie, verveelvoudiging of openbaarmaking wordt overgegaan stellen partijen elkaar in de gelegenheid de laatste modellen, prototypes of proeven van het resultaat te controleren en goed te keuren.

2.6 Afwijkingen in het (eind)resultaat ten opzichte van hetgeen is overeengekomen zijn geen reden voor afkeuring, korting, schadevergoeding of ontbinding van de overeenkomst, wanneer deze afwijkingen, alle omstandigheden in aanmerking genomen, in redelijkheid van ondergeschikte betekenis te zijn. 2.7 Klachten worden zo spoedig mogelijk, maar in ieder geval binnen tien werkdagen na afronding van de opdracht, schriftelijk aan de ontwerper meegedeeld, bij gebreke waarvan de opdrachtgever wordt geacht het resultaat van de opdracht volledig te hebben aanvaard.

3 Inschakelen van derden

3.1 Tenzij anders overeengekomen, worden opdrachten aan derden in het kader van de uitvoering van de opdracht, door of namens de opdrachtgever verstrekt. Op verzoek van de opdrachtgever kan de ontwerper, voor rekening en risico van de opdrachtgever, als gemachtigde optreden. Partijen kunnen hiervoor een nader over een te komen vergoeding afspreken.

3.2 Wanneer de ontwerper op verzoek van de opdrachtgever een begroting voor kosten van derden opstelt, dan is deze begroting indicatief. Desgewenst kan de ontwerper namens de opdrachtgever offertes aanvragen.

3.3 Wanneer bij de uitvoering van de opdracht de ontwerper volgens uitdrukkelijke afspraak voor eigen rekening en risico goederen of diensten van derden betrekt, waarna deze goederen of diensten worden doorgegeven aan de opdrachtgever, dan gelden de bepalingen uit de algemene voorwaarden van en/of aparte afspraken met de toeleverancier met betrekking tot de garantie en aansprakelijkheid ook jegens de opdrachtgever.

3.4 Wanneer de ontwerper, al dan niet in naam van de opdrachtgever, opdrachten of aanwijzingen aan productiebedrijven of andere derden verstrekt, dan zal de opdrachtgever op verzoek van de ontwerper de in artikel 2.5 van deze Algemene Voorwaarden bedoelde goedkeuring schriftelijk bevestigen.

3.5 De opdrachtgever schakelt niet zonder overleg met de ontwerper derden in wanneer dat van invloed kan zijn op de uitvoering van de opdracht zoals overeengekomen met de ontwerper. Partijen overleggen in het voorkomende geval welke andere opdrachtnemers worden ingeschakeld en welke werkzaamheden aan hen worden opgedragen.

3.6 De ontwerper is niet aansprakelijk voor fouten of gebreken in producten of diensten van door of namens de opdrachtgever ingeschakelde derden, ongeacht of deze door de ontwerper zijn geïntroduceerd. De opdrachtgever dient deze partijen zelf aan te spreken. De ontwerper kan hierbij desgewenst assistentie verlenen.

4 Rechten van intellectuele eigendom en eigendomsrechten

4.1 Alle uit de opdracht voortkomende rechten van intellectuele eigendom -waaronder het octrooirecht, merkrecht, tekening- of modelrecht en auteursrecht- op de resultaten uit de opdracht komen toe aan de ontwerper. Voor zover een dergelijk recht slechts verkregen kan worden door een depot of registratie, is uitsluitend de ontwerper daartoe bevoegd, tenzij anders overeengekomen.

4.2 Partijen kunnen overeenkomen dat de in het eerste lid bedoelde rechten geheel of gedeeltelijk aan de opdrachtgever worden overgedragen. Deze overdracht en de eventuele voorwaarden waaronder de overdracht plaatsvindt worden altijd schriftelijk vastgelegd. Tot het moment van overdracht wordt een gebruiksrecht verstrekt als geregeld in artikel 5 van deze Algemene Voorwaarden.

4.3 De ontwerper heeft te allen tijde het recht om zijn/haar naam op, bij, of in publiciteit rondom het resultaat van de opdracht -op de voor dat resultaat gebruikelijke wijze- te (laten) vermelden of verwijderen. Het is de opdrachtgever niet toegestaan zonder voorafgaande toestemming van de ontwerper het resultaat zonder vermelding van de naam van de ontwerper openbaar te maken of te verveelvoudigen.

4.4 Tenzij anders overeengekomen, blijven de in het kader van de opdracht door de ontwerper tot stand gebrachte (originelen van de) resultaten (zoals ontwerpen, ontwerpschetsen, concepten, adviezen, rapporten, begrotingen, ramingen, bestekken, werktekeningen, illustraties, foto’s, prototypes, maquettes, mallen, prototypes, (deel)producten, films, (audioen video)presentaties, broncodes en andere materialen of (elektronische) bestanden e.d.) eigendom van de ontwerper, ongeacht of deze aan de opdrachtgever of aan derden ter beschikking zijn gesteld.

4.5 Na het voltooien van de opdracht hebben noch de opdrachtgever noch de ontwerper jegens elkaar een bewaarplicht met betrekking tot de gebruikte materialen en gegevens, tenzij anders overeengekomen. 3/5 Algemene Voorwaarden BNO / februari 2013.1

5 Gebruik van het resultaat

5.1 Wanneer de opdrachtgever volledig voldoet aan zijn verplichtingen ingevolge de overeenkomst met de ontwerper, verkrijgt hij het recht tot gebruik van het resultaat van de opdracht overeenkomstig de overeengekomen bestemming. Zijn er over de bestemming geen afspraken gemaakt, dan blijft het gebruiksrecht beperkt tot dat gebruik, waarvoor de opdracht (kennelijk) is verstrekt. Het recht op gebruik is exclusief, tenzij uit de aard van de overeenkomst anders voortvloeit of anders overeengekomen.

5.2 Wanneer het resultaat mede betrekking heeft op werken waarop rechten van derden op rusten, maken partijen aanvullende afspraken hoe het gebruik van deze werken zal worden geregeld.

5.3 Opdrachtgever heeft zonder schriftelijke toestemming niet het recht om het resultaat van de opdracht aan te passen, ruimer of op andere wijze te (her)gebruiken of uit te voeren dan is overeengekomen, of om dit door de derden te laten doen. De ontwerper kan aan deze toestemming voorwaarden verbinden, waaronder het betalen van een billijke vergoeding.

5.4 In geval van niet overeengekomen ruimer of ander gebruik, hieronder ook begrepen wijziging, verminking of aantasting van het voorlopige of definitieve resultaat, heeft de ontwerper recht op een vergoeding wegens inbreuk op zijn/haar rechten van tenminste drie maal het overeengekomen honorarium, althans een vergoeding die in redelijkheid en billijkheid in verhouding staat tot de gepleegde inbreuk, zonder overigens enig ander recht te verliezen.

5.5 Het is de opdrachtgever niet (langer) toegestaan de ter beschikking gestelde resultaten te gebruiken en elk in het kader van de opdracht aan de opdrachtgever verstrekt recht tot gebruik komt te vervallen, tenzij de gevolgen daarvan in strijd zijn met de redelijkheid en billijkheid: a. vanaf het moment dat de opdrachtgever zijn (betalings)verplichtingen uit hoofde van de overeenkomst niet of niet volledig nakomt of anderszins in gebreke is; b. indien de opdracht voortijdig wordt beëindigd om redenen genoemd in artikel 8.1 van deze Algemene Voorwaarden; c. ingeval van faillissement van de opdrachtgever, tenzij de desbetreffende rechten overeenkomstig artikel 4.2 van de deze Algemene Voorwaarden aan de opdrachtgever zijn overgedragen.

5.6 De ontwerper heeft met inachtneming van de belangen van de opdrachtgever, de vrijheid om de resultaten te gebruiken voor eigen publiciteit, verwerving van opdrachten, promotie, waaronder begrepen wedstrijden en tentoonstellingen e.d., en om deze in bruikleen te krijgen, wanneer het om fysieke resultaten gaat.

6 Honorarium en kosten

6.1 De ontwerper heeft recht op een honorarium voor het uitvoeren van de opdracht. Dit kan bestaan uit een uurtarief, een consultancy-fee, een vast bedrag, al dan niet gerelateerd aan de projectsom of uit enige andere tussen partijen overeen te komen vergoeding.

6.2 Naast het overeengekomen honorarium komen ook de kosten die de ontwerper voor de uitvoering van de opdracht maakt, zoals bureau-, reis- en verblijfkosten, kosten voor prints, kopieën, (druk)proeven, prototypes, en kosten van derden voor advies, productie en begeleiding e.d., voor vergoeding in aanmerking. Deze kosten worden zoveel mogelijk vooraf gespecificeerd, behalve wanneer een opslagpercentage wordt afgesproken.

6.3 Wanneer de ontwerper door het niet tijdig of niet aanleveren van volledige, deugdelijke en duidelijke gegevens/materialen, door een gewijzigde hetzij onjuiste opdracht of briefing, dan wel door externe omstandigheden genoodzaakt is meer of andere werkzaamheden te verrichten, dan worden deze werkzaamheden apart gehonoreerd, op basis van de gebruikelijk door de ontwerper gehanteerde honorariumtarieven. De ontwerper zal de opdrachtgever hierover vooraf informeren, tenzij dit door omstandigheden niet mogelijk is of de aard van de werkzaamheden uitstel niet toelaat.

6.4 Wanneer de uitvoering van de opdracht wordt vertraagd of onderbroken door omstandigheden die niet aan de ontwerper kunnen worden toegerekend, dan is de opdrachtgever verplicht eventuele kosten die dit met zich meebrengt te vergoeden. De ontwerper zal de kosten zoveel mogelijk proberen te beperken. 4/5 Algemene Voorwaarden BNO / februari 2013.1

7 Betaling en opschorting

7.1 Alle betalingen dienen te worden gedaan zonder aftrek, verrekening of opschorting, binnen 30 dagen na factuurdatum, tenzij schriftelijk anders is overeengekomen of de factuur anders vermeldt.

7.2 Alle aan de opdrachtgever geleverde zaken blijven eigendom van de ontwerper totdat alle bedragen die de opdrachtgever aan de ontwerper op grond van de tussen partijen gesloten overeenkomst verschuldigd is, volledig aan de ontwerper zijn voldaan.

7.3 Wanneer de opdrachtgever in verzuim is met de gehele of gedeeltelijke betaling van de verschuldigde bedragen, is de opdrachtgever wettelijke rente en buitengerechtelijke incassokosten verschuldigd, welke ten minste 10% van het factuurbedrag met een minimum van € 150,- excl. BTW bedragen.

7.4 De ontwerper draagt zorg voor tijdige facturering. In overleg met de opdrachtgever, mag de ontwerper overeengekomen honorarium en kosten als voorschot, tussentijds of periodiek in rekening brengen.

7.5 De ontwerper mag de uitvoering van de opdracht opschorten nadat de betalingstermijn is verstreken en de opdrachtgever na schriftelijk te zijn aangemaand alsnog binnen 14 dagen te betalen, dit nalaat, dan wel wanneer de ontwerper door een mededeling of gedraging van de opdrachtgever moet begrijpen dat betaling achterwege zal blijven.

8 Opzegging en ontbinding van de overeenkomst

8.1 Wanneer de opdrachtgever de overeenkomst opzegt zonder dat sprake is van verwijtbaar tekortschieten door de ontwerper, of wanneer de ontwerper de overeenkomst ontbindt wegens een toerekenbare tekortkoming in de nakoming van de overeenkomst door de opdrachtgever, dan is de opdrachtgever, naast het honorarium en de gemaakte kosten met betrekking tot de tot dan verrichte werkzaamheden, een schadevergoeding verschuldigd. Gedragingen van de opdrachtgever op grond waarvan van de ontwerper redelijkerwijs niet meer gevergd kan worden dat de opdracht wordt afgerond, worden in dit verband mede beschouwd als toerekenbare tekortkoming.

8.2 De schadevergoeding bedoeld in het vorige lid omvat tenminste de kosten voortvloeiend uit de door de ontwerper op eigen naam voor de vervulling van de opdracht aangegane verbintenissen met derden, alsmede tenminste 30% van het resterende deel van het honorarium dat de opdrachtgever bij volledige vervulling van de opdracht verschuldigd zou zijn.

8.3 Zowel de ontwerper als de opdrachtgever hebben het recht de overeenkomst onmiddellijk geheel of gedeeltelijk te ontbinden, en alle verschuldigde bedragen worden terstond opeisbaar, wanneer ten aanzien van de andere partij een verzoek tot faillissement, (voorlopige) surseance, of schuldsanering wordt ingediend.

8.4 Wanneer de werkzaamheden van de ontwerper bestaan uit het bij herhaling verrichten van soortgelijke werkzaamheden, dan is sprake van een duurovereenkomst, tenzij schriftelijk anders is overeengekomen. Deze overeenkomst kan slechts worden beëindigd door schriftelijke opzegging met inachtneming van een redelijke opzegtermijn van ten minste drie maanden, gedurende welke termijn de opdrachtgever de gebruikelijke hoeveelheid werkzaamheden van de ontwerper blijft afnemen, dan wel financieel zal compenseren.

9 Garanties en vrijwaringen

9.1 De ontwerper garandeert dat het geleverde door of vanwege hem/haar is ontworpen en dat, wanneer er auteursrecht op het resultaat rust, hij/zij geldt als maker in de zin van de Auteurswet en als auteursrechthebbende over het werk kan beschikken. Ontwerper garandeert dat het resultaat van de opdracht ten tijde van het tot stand brengen daarvan, voor zover hij/zij weet of redelijkerwijs behoort te weten, geen inbreuk maakt op rechten van derden of anderszins onrechtmatig is.

9.2 Wanneer de opdrachtgever de resultaten van de opdracht gebruikt, vrijwaart de opdrachtgever de ontwerper of door de ontwerper bij de opdracht ingeschakelde derden voor alle aanspraken van derden voortvloeiend uit de toepassingen of het gebruik van het resultaat van de opdracht. Dit laat onverlet de aansprakelijkheid van ontwerper jegens opdrachtgever voor niet-nakoming van de garanties als bedoeld in het voorgaande lid en overige aansprakelijkheid als bedoeld in artikel 10 van deze Algemene Voorwaarden. 5/5 Algemene Voorwaarden BNO / februari 2013.1

9.3 De opdrachtgever vrijwaart de ontwerper voor aanspraken met betrekking tot rechten van intellectuele eigendom op alle door de opdrachtgever verstrekte materialen en/of gegevens, die bij de uitvoering van de opdracht worden gebruikt.

10 Aansprakelijkheid

10.1 Ontwerper dient ingeval van een toerekenbare tekortkoming eerst schriftelijk in gebreke te worden gesteld, met een redelijke termijn om alsnog zijn/haar verplichtingen na te komen, dan wel eventuele fouten te herstellen of schade te beperken of op te heffen.

10.2 Ontwerper is uitsluitend aansprakelijk jegens de opdrachtgever voor aan de ontwerper toerekenbare, directe schade. Aansprakelijkheid van de ontwerper voor indirecte schade, daaronder begrepen gevolgschade, gederfde winst, gemiste besparingen, verminkte of vergane gegevens of materialen, of schade door bedrijfsstagnatie, is uitgesloten.

10.3 Behalve in geval van opzet of bewuste roekeloosheid van de ontwerper, is de aansprakelijkheid van de ontwerper beperkt tot het honorarium van de ontwerper voor de opdracht, althans dat deel van de opdracht waarop de aansprakelijkheid betrekking heeft. Dit bedrag is niet hoger dan €75.000,= en in ieder geval te allen tijde beperkt tot maximaal het bedrag dat de verzekeraar in het voorkomend geval aan de ontwerper uitkeert. Het bedrag waarvoor de ontwerper in het voorkomende geval aansprakelijk is, wordt verminderd met de eventuele sommen welke door de opdrachtgever zijn verzekerd.

10.4 Elke aansprakelijkheid vervalt door het verloop van twee jaar vanaf het moment dat de opdracht door voltooiing, opzegging of ontbinding is geëindigd.

11 Overige bepalingen

11.1 Wanneer de opdrachtgever eenzelfde opdracht tegelijkertijd aan anderen dan de ontwerper wenst te verstrekken of de opdracht reeds eerder aan een ander heeft verstrekt, zal hij de opdrachtnemer, onder vermelding van de namen van deze anderen, hiervan op de hoogte stellen.

11.2 Het is de opdrachtgever niet toegestaan enig recht uit een met de ontwerper gesloten overeenkomst aan derden over te dragen, anders dan bij overdracht van zijn gehele onderneming of met schriftelijke toestemming van de ontwerper.

11.3 Partijen zijn verplicht tot geheimhouding van alle vertrouwelijke informatie, feiten en omstandigheden, die in het kader van de opdracht, van elkaar of uit andere bron, aan de andere partij ter kennis komen, waarvan redelijkerwijs te begrijpen is dat openbaarmaking of mededeling aan derden de ontwerper of de opdrachtgever schade zou kunnen berokkenen. Derden, die bij de uitvoering van de opdracht worden betrokken, zullen ten aanzien van deze feiten en omstandigheden afkomstig van de andere partij aan eenzelfde vertrouwelijke behandeling worden gebonden.

11.4 Indien enige bepaling van deze Algemene Voorwaarden nietig is of vernietigd wordt, zullen de overige bepalingen van deze Algemene Voorwaarden onverminderd van kracht blijven. Partijen zullen in dat geval in overleg treden met het doel nieuwe bepalingen ter vervanging van de nietige of vernietigde bepalingen overeen te komen, waarbij zoveel mogelijk het doel en de strekking van de nietige dan wel vernietigde bepalingen in acht wordt genomen.

11.5 De opschriften in deze Algemene Voorwaarden dienen slechts om de leesbaarheid te bevorderen en vormen geen onderdeel van deze Algemene Voorwaarden.

11.6 Op de overeenkomst tussen de ontwerper en opdrachtgever is Nederlands recht van toepassing. Partijen zullen in eerste instantie een gerezen geschil in onderling overleg proberen op te lossen. Behalve wanneer partijen uitdrukkelijk schriftelijk arbitrage zijn overeengekomen, neemt de volgens de wet bevoegde rechter, of de rechter in het arrondissement waar de ontwerper is gevestigd, dit ter keuze van de ontwerper, kennis van geschillen tussen de ontwerper en opdrachtgever.

Aanvullende voorwaarden bij opdrachten interactief media ontwerp maart 2017

In afwijking dan wel aanvulling van de Algemene Voorwaarden BNO (2013) (hierna te noemen “AV BNO”) die op onze offertes van toepassing zijn, en die u als bijlage bij deze offerte aantreft [OF: die u reeds eerder zijn toegezonden], gelden de volgende bepalingen:

1 Specificaties

Bij de overeenkomst of de offerte wordt zoveel mogelijk een omschrijving van de opdracht gevoegd, voorzien van (functionele en technische) specificaties, welke bijlage onlosmakelijk onderdeel van de overeenkomst (of offerte) uitmaakt. Om misverstanden te voorkomen, staat het de Ontwerper vrij om een nadere uitwerking te maken of te verlangen van de opdrachtomschrijving c.q. de specificaties.

2 Het resultaat

De Opdrachtgever en de Ontwerper stellen in gezamenlijk overleg vast aan welke voorwaarden het resultaat van de opdracht (hierna te noemen: “het Resultaat”), naast de in artikel 1 genoemde specificaties, in ieder geval moet voldoen. Tenzij anders overeengekomen, bestaat het Resultaat uit het visueel ontwerp (“Visueel Ontwerp”), de interactieve mediatoepassingen, zoals (mobiele) applicaties/apps en websites (“Programmatuur”) en de broncode waarmee de Programmatuur geschreven is (“Broncode”). Voor zover het correcte gebruik van het Resultaat dit verlangt, komen partijen eveneens overeen in hoeverre de Ontwerper betrokken zal worden bij het onderhoud van Resultaat.

3 Contactpersonen

De Opdrachtgever en de Ontwerper wijzen beiden een contactpersoon aan die bevoegd is beslissingen in het kader van de opdracht te nemen. Wanneer de aangewezen persoon van een partij langer dan vier weken om welke reden dan ook niet beschikbaar is, dan zal die partij een andere contactpersoon aanwijzen. 4 Juiste aanlevering materialen

De Opdrachtgever zal ervoor zorgen dat Programmatuur, materialen, gegevens en/of andere informatie, die noodzakelijk of wenselijk zijn voor het correct uitvoeren van de opdracht, tijdig, juist en volledig aan de Ontwerper ter beschikking worden gesteld en geschikt zijn om door de Ontwerper in het kader van de opdracht te gebruiken.

5 Stand der techniek

De Ontwerper zal de opdracht naar beste vermogen uitvoeren met inachtneming van de dan geldende stand der techniek De Ontwerper kan niet garanderen dat het Resultaat zonder onderbreking of fouten in iedere omgeving zal werken. Het Resultaat en de weergave daarvan kunnen afhankelijk zijn van externe factoren, zoals hardware, systemen, browsers, schermresoluties of besturingssystemen. Eventueel kan de Opdrachtgever voorafgaand aan de uitvoering van de opdracht in de specificaties laten opnemen in welke omgeving het Resultaat zal worden gebruikt, zodat het Resultaat daar zoveel mogelijk op kan worden afgestemd.

6 Testperiode

Wanneer bij de opdracht een acceptatietest is overeengekomen, dan wordt daarbij een testperiode bepaald, die in geen geval langer zal zijn dan 14 dagen na oplevering van het Resultaat door de Ontwerper, tenzij schriftelijk anders is afgesproken. Het is de Opdrachtgever niet toegestaan het Resultaat en/of de testgegevens tijdens de testperiode openbaar te maken, daarin wijzigingen aan te brengen of deze – behoudens toestemming van de Ontwerper – te laten testen door derden.

7 Gebreken en acceptatie

Wanneer het Resultaat naar het oordeel van de Opdrachtgever niet voldoet aan de ter zake opgestelde technische en/of functionele specificaties, dan stelt de Opdrachtgever de Ontwerper daarvan onmiddellijk, maar tenminste binnen 14 dagen na oplevering, en voor gebreken die niet gelegen zijn in het niet in acht nemen van voornoemde technische en/of functionele specificaties, ten minste binnen 30 dagen na oplevering, schriftelijk in kennis, bij gebreke waarvan hij geacht wordt het Resultaat onvoorwaardelijk “as is” te hebben geaccepteerd. De laatstgenoemde termijn van 30 dagen geldt niet, als de Opdrachtgever onomstotelijk kan bewijzen dat hij, ook al is genoemde termijn verstreken, dit gebrek niet eerder heeft kunnen constateren. De Opdrachtgever is verplicht om ook in dat geval het gebrek zo spoedig mogelijk aan de Ontwerper te melden. Creatieve, inhoudelijke, artistieke of taalkundige keuzes van de Ontwerper kunnen nooit gelden als “gebrek” in de zin van dit artikel of van de overeenkomst, tenzij zij uitdrukkelijk onderdeel zijn van genoemde technische en/of functionele specificaties.

8 Bijzondere garantiebepaling

De Ontwerper zal eventuele gebreken in de Programmatuur of in het Resultaat, als bedoeld en gemeld in het vorig artikel, herstellen, voor zover deze gebreken gelegen zijn in het door toedoen van de Ontwerper niet voldoen aan de opgestelde specificaties. Wanneer een acceptatietest is overeengekomen dan zal de Ontwerper, in afwijking van het hiervoor bepaalde, dergelijke gebreken in de Programmatuur, die binnen 14 dagen na afloop van de testperiode door de Opdrachtgever schriftelijk worden gemeld, herstellen, voor zover deze gebreken samenhangen met wijzigingen/verbeteringen die tijdens de testperiode zijn aangebracht.

9 Verval bijzondere garantie

De Ontwerper hoeft geen gebreken in het Resultaat te herstellen wanneer deze zijn veroorzaakt door de Opdrachtgever zelf, door derden of door (gewijzigde) omstandigheden, waarvan de Ontwerper ten tijde van het sluiten van de overeenkomst niet wist of behoorde te weten. De garantieverplichting vervalt ook wanneer de Opdrachtgever zonder toestemming van de Ontwerper wijzigingen in de Programmatuur of andere onderdelen van het Resultaat aanbrengt of laat aanbrengen, of wanneer de Opdrachtgever op enige wijze zelf zonder schriftelijke toestemming van de Ontwerper een gebrek probeert te (laten) herstellen.

10 Uitbreiding diensten de Ontwerper

De Ontwerper verzorgt alleen andere diensten, zoals het aanvragen van domeinnaamregistraties, en het opzetten van procedures voor beveiliging, controle, onderhoud en systeembeheer, als dit uitdrukkelijk onderdeel van de opdracht uitmaakt.

11 Privacy

Wanneer de Ontwerper in het kader van de te verrichten diensten persoonsgegevens van (klanten van) de Opdrachtgever moet verwerken, dan wordt de Ontwerper als “bewerker” en de Opdrachtgever als “verantwoordelijke” in de zin van de Wet bescherming Persoonsgegevens aangemerkt en wordt desgewenst aanvullend een bewerkersovereenkomst gesloten. Bij de vastlegging van de technische specificaties als bedoeld in artikel 2 van deze aanvullende voorwaarden, wordt in dat geval specifiek vermeld welke passende technische en organisatorische maatregelen getroffen worden om de persoonsgegevens te beveiligen tegen verlies of onrechtmatige verwerking.

12 Inschakelen hosting- en internetproviders en andere dienstverleners

Wanneer de Ontwerper adviseert om andere dienstverleners of toeleveranciers, zoals bepaalde hosting- en internetproviders, ten behoeve van het functioneren of tot stand brengen van het Resultaat in te schakelen, is de Ontwerper niet aansprakelijk wanneer deze dienstverleners of toeleveranciers tekort schieten in hun verplichtingen.

13 Extra werkzaamheden

Wanneer de Ontwerper extra werkzaamheden moet verrichten door een wijziging of uitbreiding van de opdracht, door het te laat, onjuist of onvolledig aanleveren van Programmatuur, materialen of gegevens, door het herstel van het ontwerp of het Resultaat in verband met verkeerd of onoordeelkundig gebruik, door het moeten vragen van toestemmingen van rechthebbenden of door het buiten de opdrachtomschrijving om (op verzoek of noodgedwongen) begeleiden van medewerkers of toeleveranciers van de Opdrachtgever, dan wordt hiervoor, ongeacht of er sprake was van een vaste prijsafspraak, een vergoeding betaald, op basis van de op dat moment door de Ontwerper gehanteerde honorariumtarieven.

14 Gebruik Resultaat

De Opdrachtgever heeft het recht om het Resultaat te gebruiken op de wijze zoals overeengekomen en wanneer hij zijn verplichtingen uit de overeenkomst is nagekomen. Het gebruik van het Resultaat moet in alle gevallen correct en oordeelkundig te zijn. In geval van twijfel of onduidelijkheid of een bepaalde wijze van gebruik is toegestaan, dan zal de Opdrachtgever voorafgaand aan het gebruik met de Ontwerper in overleg treden.

15 Intellectuele eigendomsrechten

Onder “intellectuele eigendomsrechten”, als bedoeld in artikel 4 AV BNO, wordt in deze aanvullende algemene voorwaarden uitdrukkelijk verstaan: auteursrechten, databankrechten, naburige rechten, merkrechten, modelrechten, octrooien, domeinnaamrechten, knowhow, handelskennis, handelsgeheimen en alle soortgelijke rechten, waar ter wereld ook ontstaan, al dan niet vatbaar voor registratie en inclusief aanvragen daartoe.

16 Licentie voor het gebruik van het Resultaat

Wanneer de Opdrachtgever volledig voldoet aan zijn verplichtingen ingevolge de overeenkomst met de Ontwerper, verkrijgt hij een licentie tot het gebruik van het Resultaat als bedoeld in artikel 5 AV BNO. Met betrekking tot het Visueel Ontwerp dat onderdeel is van het Resultaat, is de in lid 1 van dit artikel bedoelde licentie exclusief en niet-overdraagbaar. Met betrekking tot de door de Ontwerper ontwikkelde Programmatuur en Broncode, als ook de daarbij behorende (technische) documentatie, is de in lid 1 van dit artikel bedoelde licentie niet-exclusief en niet-overdraagbaar, ongeacht of deze in het kader van de opdracht zijn vervaardigd. De auteursrechten op het Resultaat blijven bij de Ontwerper, tenzij partijen overeenkomstig artikel 4.2 AV BNO een overdracht van rechten overeenkomen.

17 Materiaal van derden

17.1 De Opdrachtgever is zelf verantwoordelijk voor het verkrijgen van toestemming tot gebruik van materiaal van derden, dat is beschermd door auteursrechten of enige andere intellectuele eigendomsrechten en dat in het Resultaat zal worden gebruikt, tenzij partijen uitdrukkelijk zijn overeengekomen dat deze verantwoordelijkheid bij de Ontwerper zal rusten.

17.2 De Ontwerper meldt zoveel mogelijk vooraf voor welk materiaal toestemming tot gebruik verkregen moet worden. Voor het materiaal dat de Ontwerper voorstelt in het Resultaat toe te passen, kan de Ontwerper op verzoek van de Opdrachtgever een kostenraming opvragen bij de betreffende toeleverancier.

17.3 Onder auteursrechtelijk beschermd materiaal van derden wordt in dit verband onder meer verstaan: software, huisstijlelementen, fonts, foto’s, (muziek)composities en (audio)visuele werken.

17.4 Zo nodig kan de Ontwerper bewijs verlangen dat de toestemming uit de voorgaande leden goed en volledig is geregeld. De Ontwerper is in geen geval aansprakelijk wanneer de hier bedoelde licenties ontbreken, niet correct of niet volledig zijn. De Opdrachtgever vrijwaart de Ontwerper tegen mogelijke aanspraken van derden wat dit betreft.

18 Wijzigingen

Het is de Opdrachtgever toegestaan om, in geval van een opdracht voor het ontwikkelen van een (mobiele) applicatie of website, of een wat dit betreft met een dergelijke toepassing gelijk te stellen ontwerp, voor het dagelijks gebruik binnen de door de Ontwerper aangegeven grenzen wijzigingen aan te brengen in de inhoud van de databases, achterliggende pagina’s en de boomstructuren. Het is de Opdrachtgever echter niet toegestaan om zonder schriftelijke toestemming van de Ontwerper wijzigingen aan te brengen in:

a. het Visueel Ontwerp;
b. de openingspagina;
c. de basisstructuur;
d. de Programmatuur;
e. het navigatiesysteem.

18.3 De Ontwerper kan de in het vorige lid bedoelde toestemming niet onthouden als dit in strijd met de redelijkheid is. De Opdrachtgever zal bij een door hem gewenste wijziging de Ontwerper als eerste in de gelegenheid stellen om deze uit te voeren. Hiervoor wordt een vergoeding betaald, op basis van de op dat moment door de Ontwerper gehanteerde honorariumtarieven.

19 Broncode en bescherming Programmatuur

19.1 De Broncode van de Programmatuur en de bij de ontwikkeling van het Resultaat tot stand gekomen technische documentatie worden door de Ontwerper niet overgedragen aan de Opdrachtgever. Als de Opdrachtgever dit verlangt of als de aard van de opdracht daartoe aanleiding geeft, kan de Ontwerper worden verplicht om de broncode in bewaring te geven bij een derde (“escrow”). De escrow-kosten komen voor rekening van de Opdrachtgever, tenzij partijen anders zijn overeengekomen of de escrowregeling al bestond.

19.2 Voor zover de Opdrachtgever zich inzage kan verschaffen in de Broncode, heeft hij niet het recht daarvan op enige wijze gebruik te maken (anders dan waarvoor deze eventueel in escrow is gegeven), dan wel deze te disassembleren, decoderen, decompileren, reverse engineering toe te passen, te wijzigen en/of daarover aan anderen inlichtingen te verstrekken zonder voorafgaande schriftelijke toestemming van de rechthebbende op de Broncode.

19.3 De Ontwerper heeft het recht door middel van (technische) maatregelen zijn/haar Programmatuur te beschermen. In dat geval is het de Opdrachtgever niet toegestaan deze beveiliging te verwijderen of te ontwijken.

20 Handhaving rechten

20.1 De Ontwerper machtigt de Opdrachtgever bij deze om, in geval van inbreuk op de aan hem toekomende rechten op het Resultaat, op eigen kosten namens de Ontwerper en namens zichzelf, zowel in als buiten rechte, de rechten te handhaven en schadevergoeding en winstafdracht te vorderen. Bij alle maatregelen tot dit doel zullen partijen elkaar alle benodigde gegevens verstrekken.

20.2 In geval van rechtsmaatregelen als bedoeld in het vorige lid, heeft de Opdrachtgever recht op 60% en de Ontwerper op 40% van de opbrengsten uit iedere aan de Opdrachtgever toegekende of  gehonoreerde schadeclaim na aftrek van de eventuele buitengerechtelijke en gerechtelijke kosten en kosten voor juridische bijstand, voor zover de inbreukmaker niet in die kosten is veroordeeld.

20.3 Wanneer de Opdrachtgever afziet van het nemen van zulke rechtsmaatregelen, dan staat het de Ontwerper vrij zelf rechtsmaatregelen te nemen tegen de inbreuk makende partij(en). De op grond van die rechtsmaatregelen door een derde te betalen (schade)vergoeding komt volledig ten goede aan de Ontwerper, met vergoeding aan de Opdrachtgever van de door hem gemaakte redelijke kosten van bijstand aan de Ontwerper.

21 Creditvermelding

21.1 Bij publiciteit rondom het Resultaat zal de Opdrachtgever ervoor zorgen dat de bijdrage van de Ontwerper duidelijk naar voren komt. Als overeengekomen is dat derden betrokken zullen zijn bij een wijziging of uitwerking van het Resultaat, dan zal de Opdrachtgever ook deze derden verplichten bij publiciteit rondom (een uitwerking van) het Resultaat de bijdrage van de Ontwerper duidelijk te vermelden.

21.2 De Ontwerper mag zijn/haar naam op een bescheiden wijze in het Resultaat opnemen. De wijze waarop deze naamsvermelding plaatsvindt, wordt in onderling overleg vastgesteld. Dit voorbeeld is met de grootste zorgvuldigheid opgesteld. De BNO is echter niet aansprakelijk voor nadelige gevolgen of schade, van welke aard ook, voortkomend uit gebreken in de inhoud of uit gebruik van dit voorbeeld.

General Terms and Conditions of the Association of Dutch Designers (BNO)

1 Agreement, offer and confirmation

1.1 These General Terms and Conditions (“General Terms and Conditions”) govern all offers and the preparation, content and performance of all agreements concluded between the client and the contractor (the “Designer”). Deviations from these General Terms and Conditions may be agreed on between the client and the Designer only in writing.

1.2 All offers are without commitment and are valid for two months. Prices quoted may be subject to change due to unforeseen changes in the work. Prices are exclusive of VAT. The rates and offers quoted do not automatically apply to future commissions. The client warrants that the information provided to the Designer by it or on its behalf and on which the Designer bases the offer is correct and complete.

1.3 Commissions are confirmed in writing by the client. If the client fails to do so but consents to the Designer commencing the work commissioned, the terms of the offer are deemed to have been agreed on and these General Terms and Conditions apply. Any subsequent oral agreements and stipulations are not binding on the Designer until he has confirmed them in writing.

2 Performance of the agreement

2.1 The Designer must make every effort to perform the work commissioned carefully and independently, to promote the client’s interests to the best of his or her ability and to aim to achieve a result that is useful to the client, as can and may be expected of a reasonably and professionally acting designer. To the extent necessary the Designer must keep the client informed of the progress of the work.

2.2 The client must do any and all things that are reasonably necessary or required to enable the Designer to deliver punctually and properly, such as supplying (or causing the supply of) complete, sound and clear data or materials in a timely manner of which the Designer states or of which the client understands or should reasonably understand that they are necessary for the performance of the agreement.

2.3 Terms stated by the Designer for the performance of the work commissioned are approximations only, unless otherwise agreed in writing.

2.4 Unless otherwise agreed, the following do not form part of the work commissioned to the Designer:

a. performing tests, applying for permits and assessing whether the client’s instructions comply with statutory or quality standards;
b. investigating any existing rights, including patents, trademarks, drawing or design rights or portrait rights of third parties; and
c. investigating the possibility of the forms of protection referred to in (b) for the Client.

2.5 Prior to performance, production, reproduction or publication, the parties must give each other the opportunity to check and approve the final draft, prototypes or galley proofs of the result.

2.6 Differences between the (final) result and the agreements made cannot serve as grounds for rejection, discount, damages or dissolution of the agreement if those differences are reasonably of minor importance, taking all the circumstances into account.

2.7 Any complaints must be filed with the Designer in writing at the earliest possible time but no later than ten business days after completion of the work commissioned, failing which the client is deemed to have accepted the result of the work commissioned in its entirety.

3 Engagement of third parties

3.1 Unless otherwise agreed, instructions to third parties in the context of the performance of the work commissioned are given by or on behalf of the client. At the client’s request the Designer may act as an agent for the client’s account and risk. The parties may agree on a fee for such agency.

3.2 If the Designer provides an estimate of third-party costs at the client’s request, that estimate is an approximation only. If required, the Designer may apply for quotations at third parties on the client’s behalf.

3.3 If the Designer procures goods or services from third parties in the performance of the work commissioned, for the Designer’s own account and risk and on the basis of an express agreement, whereby those goods or services are passed on to the client, these general conditions of and/or any separate agreements made with that supplier with regard to warranties and liability also apply to the client.

3.4 If the Designer gives commissions or instructions to production companies or other third parties in the client’s name or otherwise, the client will confirm in writing at the Designer’s request the approval referred to in Article 2.5 of these General Terms and Conditions.

3.5 The client may not engage any third parties without consultation with the Designer if that may influence the performance of the work commissioned as agreed on with the Designer. The Parties will consult, if necessary, as to which other contractors will be engaged and which work will be assigned to them. 3.6 The Designer is not liable for any errors or defects of products or services of third parties engaged by or on behalf of the client, irrespective of whether they have been introduced by the Designer. The client itself must hold those parties accountable. The Designer may assist in that regard if necessary.

4 Intellectual and other property rights

4.1 All intellectual property rights arising from the work commissioned – including patents, trademarks, drawing or design rights and copyrights – in respect of the results of the work commissioned are vested in the Designer. Insofar as any of such rights can be acquired only by means of an application or registration, the Designer will have the sole and exclusive power to effect that application or registration, unless otherwise agreed.

4.2 The parties may agree that the rights referred to in paragraph 1 are transferred in whole or in part to the client. Such transfer and the conditions, if any, on which the transfer takes place must always be recorded in writing. Until the moment of transfer, a right of use is granted as regulated in Article 5 of these General Terms and Conditions.

4.3 The Designer is entitled at any time to imprint his name on or in, or to remove it from, the result of the work commissioned (or publicity related thereto) or to have his name imprinted on or in, or removed from, the result of the work commissioned, in a manner that is customary for that result. Without the Designer’s prior consent the client may not publish or reproduce the result without identifying the Designer by name.

4.4 Unless otherwise agreed, the (original) results (such as designs, design sketches, drafts, advice, reports, budgets, estimates, specifications, design drawings, illustrations, photographs, prototypes, scale models, templates, prototypes, products and partial products, films audio and video or other presentations, source codes and other materials or (electronic) data files etc.) made by the Designer as part of the work commissioned remain the Designer’s property, irrespective of whether they have been made available to the client or to third parties.

4.5 On completion of the work commissioned, neither the client nor the Designer will be under any custodian duty in respect of any of the materials and data used, unless otherwise agreed.

5.1 Once the client has fulfilled all his obligations under the agreement with the Designer, he acquires the right to use the result of the work commissioned in accordance with the agreed purpose. If no such specific purpose has been agreed on, the right of use is limited to that use of the design for which the commission was (manifestly) given. The right of use is exclusive, unless otherwise apparent from the nature of the agreement or otherwise agreed.

5.2 If the result also relates to works that are subject to third-party rights, the parties will make additional agreements on how the use of those works will be regulated.

5.3 Without the Designer’s prior written consent, the client is not entitled to change the result of the work commissioned, or to use or reuse it in a broader or different manner than agreed, or to allow third parties to do so. The Designer may make that consent subject to conditions, including payment of a reasonable fee.

5.4 In the event of broader or different use on which no agreement was reached, including any modification, mutilation or infringement on the provisional or final result, the Designer is entitled to compensation on the grounds of infringement of his/her rights of at least three times the agreed fee, or a fee that is reasonably proportional to the infringement committed, without losing any other rights.

5.5 The client is not (or no longer) permitted to use the results made available, and any right of use granted to the client in the context of the work commissioned will lapse, unless the consequences conflict with the rules of reasonableness and fairness:

a. the moment that the client fails to perform or to fully perform his payment or other obligations under the agreement, or is otherwise in default;
b. if the work commissioned is terminated prematurely for the reasons referred to in Article 8.1 of these General Terms and Conditions; or
c. if the client is declared bankrupt, unless the rights in question have been transferred to the client in accordance with Article 4.2 of These General Terms and Conditions.

5.6 With due observance of the client’s interests, the Designer may use the results at his discretion for his own publicity, to secure commissions, for promotional purposes, including competitions and exhibitions, etc., and to obtain them on loan, if physical results are involved.

6 Fees and additional costs

6.1 The Designer is entitled to a fee for the performance of the work commissioned. That fee may consist of an hourly rate, a consultancy fee, a fixed amount, whether or not related to the project sum, or any other fee agreed on between the parties.

6.2 In addition to payment of the agreed fee, the Designer is entitled to reimbursement of any costs incurred by him in the performance of the work commissioned, such as administrative overheads, travel and accommodation expenses, costs of prints, copies, (galley) proofs and prototypes, and costs of third parties related to advice, production, supervision, etc. Those costs must be itemised beforehand to the extent possible, unless a mark-up percentage is agreed on.

6.3 If the Designer is required to perform more or other work due to late delivery or non-delivery of complete, sound and clear information and/or materials, any change or error in instructions or briefings, or any external circumstances, such additional work is charged separately on the basis of the Designer’s usual fees. The Designer will then inform the client accordingly beforehand, unless that is impossible due to circumstances or the nature of the work does not allow any delay.

6.4 If the performance of the work commissioned is delayed or interrupted due to circumstances beyond the Designer’s control, the costs involved, if any, are payable by the client. The Designer must attempt to limit those costs to the extent possible.

7 Payment and suspension

7.1 All payments must be made without any deduction, set-off or suspension within 30 days of the invoice date, unless otherwise agreed in writing or stated in the invoice.

7.2 All goods delivered to the client remain the Designer’s property until all the amounts that the client owes the Designer under the agreement concluded between the parties have been paid to the Designer.

7.3 If the client fails to pay all or part of the amounts due, it owes statutory interest and out-ofcourt costs of collection, amounting to at least 10% of the invoice amount, subject to a minimum of € 150, excluding VAT.

7.4 The Designer must arrange for timely invoicing. In consultation with the client the Designer may charge the agreed fee and costs as an advance, in the interim or periodically.

7.5 The Designer may suspend the performance of the work commissioned after the term for payment has expired and the client, after a written demand to make payment within 14 days, fails to make that payment, or if the Designer is forced to conclude on the grounds of a statement or act on the part of the client that payment will not be made.

8 Notice of termination and dissolution of the agreement

8.1 If the client gives notice of termination of the agreement, without any breach on the part of the Designer, or if the Designer dissolves the agreement on the grounds of breach by the client in the performance of the agreement, the client is liable for damages in addition to the Designer’s fee and the costs incurred in connection with the work performed until that time. In this context any conduct by the client on the grounds of which the Designer cannot reasonably be required to complete the work commissioned is also regarded as breach.

8.2 The damages referred to in the preceding paragraph of this Article include at least the costs arising from obligations undertaken by the Designer in his own name with third parties for the performance of the work commissioned, as well as at least 30% of the balance of the fee that the client would owe the Designer if the work commissioned were completed in full.

8.3 Both the Designer and the client have the right to terminate the agreement in whole or in part with immediate effect, and all amounts due are payable immediately, if a petition in bankruptcy or a petition for a suspension or provisional suspension of payment or for application of the debt rescheduling arrangement is filed in respect of the other party.

8.4 If the Designer’s work consists of recurrently performing work of a similar nature, a continuing performance agreement is involved, unless otherwise agreed in writing. Such an agreement may be terminated only by written notice given while observing a reasonable notice period of no less than three months, during which period the client must continue to purchase the customary amount of work from the Designer or must provide financial compensation.

9 Warranties and indemnities

9.1 The Designer warrants that the result has been designed by him or her or on his or her behalf and, if the result is copyright-protected, that the Designer is the author within the meaning of the Auteurswet (Dutch Copyright Act) and as the copyright owner has power of disposition of the work. The Designer warrants that, as far as he/she knows or reasonably ought to know, the result of the work commissioned does not infringe any third-party rights and is not otherwise unlawful.

9.2 If the client uses the results of the work commissioned, it indemnifies the Designer or persons engaged by the Designer in the performance of the work commissioned against any third-party claims arising from the application or use of the result of the work commissioned. This is without prejudice to the Designer’s liability towards the client for failure to comply with the warranties referred to in the preceding paragraph and any other liability as referred to in Article 10 of these General Terms and Conditions.

9.3 The client indemnifies the Designer against any claim or action relating to intellectual property rights in materials or information supplied by the client and used in the performance of the work commissioned.

10 Liability

10.1 In the event of breach, the Designer must first be given written notice of default, setting a reasonable term in which to perform his/her obligations, to correct any errors or to limit or reverse the loss.

10.2 The Designer is liable towards the client only for direct damage attributable to the Designer. The Designer’s liability for indirect damage, including consequential damage, loss of profits, loss savings, mutilated or lost data or materials, or damage due to business interruption is excluded.

10.3 Except in the event of intent or wilful recklessness on the part of the Designer, the Designer’s liability is limited to the fee that he or she charged for the work commissioned, or in any event the part of the work commissioned to which the liability relates. That amount may not exceed EUR 75,000 and may in no event be higher than the benefit paid to the Designer by the insurance company in the case in question. The amount for which the Designer is liable in the case in question is reduced by any sums insured by the client.

10.4 Any and all liability expires two years from the date on which the work commissioned has ended on the grounds of completion, termination or dissolution.

11 Other provisions

11.1 If the client wishes to commission the work at the same time to parties other than the Designer, or has previously already commissioned the work to another party, it must inform the Designer accordingly, stating the names of those third parties.

11.2 The client is not permitted to transfer or assign to third parties any of the rights under an agreement concluded with the Designer, except in the event of transfer of the client’s entire business or with the Designer’s written consent. 11.3 Both parties must keep confidential any and all confidential information, facts and circumstances that come to their knowledge in the context of the work commissioned, from each other or from any other source, of which they can reasonably understand that their publication or disclosure to third parties might damage the Designer or the client. The same duty of confidentiality in respect of such facts and circumstances must be imposed on any third parties engaged in the performance of the work commissioned.

11.4 If any provision of these General Terms and Conditions is void or voided, the other provisions of these General Terms of Conditions continue to apply in full. In that case the parties will consult in order to agree on new provisions to replace the void or voided provisions that are as closely as possible in keeping with the purpose and scope of the void or voided provisions.

11.5 The headings of these General Terms and Conditions have been included for easy reference only and do not form part of these General Terms and Conditions.

11.6 All agreements between the Designer and the client are governed by Dutch law. The parties will first attempt to settle any dispute that arises in consultation. Unless the parties have expressly agreed in writing on arbitration, the court that has jurisdiction by law or the court in the district in which the Designer has its registered office has jurisdiction to hear and decide on any disputes between the Designer and the client.

1/4 Additional Conditions of Interactive Media Design /BNO, most recently revised in March 2017 Explanation These Additional Conditions may be used for assignments for the development of interactive media applications, such as mobile and other applications (“apps”), websites, booking or registrations systems, etc. They are additions to and deviations from the BNO general Conditions (2013) and it is therefore advisable, insofar as relevant and desirable, to expressly include these provisions in, or enclose them with, the offer in which the BNO General Conditions (2013) are declared applicable. It is important to bear in mind that any other addition to or deviation from the provisions may have drastic consequences for the liability and, if applicable, the coverage under the liability insurance. It is therefore advisable always to present additional or deviating agreements to a legal advisor (of BNO) or to the insurance company or insurance broker. (See also the explanation of the BNO General Conditions (2013).) Sample text: Notwithstanding or in addition to the BNO General Conditions (2013) (referred to below as the “BNO General Conditions”) governing this offer, a copy of which is enclosed [OR: a copy of which you have already received], the following provisions apply. 1 Specifications Insofar as possible a description of the assignment is appended to the agreement or the offer, stating (functional and technical) specifications, which appendix forms an integral part of the agreement (or offer). To avoid any misunderstanding, the Designer is free to draw up or require a more detailed description of the assignment or more detailed specifications. 2 The work The Customer and the Designer determine in consultation what conditions the outcome of the assignment (the “Work”) must in any event meet, in addition to the specifications stated in Article 1. Unless otherwise agreed, the Work consists of the visual design (the “Visual Design”), the interactive media applications, such as mobile and other applications/apps and websites (the “Software”) and the source code used to write the Software (the “Source Code”). Insofar as correct use of the Work so requires, the parties must also agree to what extent the Designer will be involved in the maintenance of the Work. 3 Contacts The Customer and the Designer will each designate a contact who is authorised to make decisions with regard to the assignment. If a party’s designated contact is unavailable for any reason for a period of more than four weeks, that party must designate another contact. 4 Correct provision of materials The Customer must ensure that Software, materials, data and other information that are necessary or desirable in order to correctly perform the assignment are made available to the Designer in a timely, correct and complete manner and are suitable for use by the Designer in respect of the assignment. Sample Additional Conditions governing assignments for interactive media design March 2017 2/4 Additional Conditions of Interactive Media Design /BNO, most recently revised in March 2017 5 State of the art The Designer will perform the assignment to the best of his/her ability, in accordance with the state of the art. The Designer cannot warrant that the Work will function without interruption or error-free in every environment. The Work and the way in which it is displayed may be dependent on external factors, such as hardware, systems, browsers, screen resolutions or operating systems. If applicable, the Customer may record in the specifications before the performance of the assignment in what environment the Work will be used, so that the Work can be adjusted accordingly. 6 Test period If an acceptance test is agreed on in respect of the assignment, a test period is set, which may in no event be longer than 14 days after delivery of the Work by the Designer, unless otherwise agreed in writing. During the test period the Customer may not disclose the Work or the test data or make any changes to them, and may not have them tested by third parties without the Designer’s consent. 7 Defects and acceptance If in the Customer’s opinion the Work is not in keeping with the relevant technical and/or functional specifications, the Customer must inform the Designer accordingly in writing immediately, in any event no later than 14 days after delivery, and in the case of defects that are not due to failure to comply with the aforesaid technical and/or functional specifications in any event no later than 30 days after delivery, failing which the Customer is deemed to have accepted the Work unconditionally as is. The latter 30-day period days does not apply if the Customer can irrefutably prove that, even though that period has passed, it could not have discovered the defect any sooner. Also in that case the Customer must report the defect to the Designer as soon as possible. Creative, substantive, artistic or linguistic choices of the Designer can in no event constitute a “defect” as referred to in this article or in the agreement, unless they expressly form part of the aforesaid technical or functional specifications. 8 Special warranty provision The Designer will repair any defects in the Software or the Work, as referred to and set out in the preceding article, insofar as such defects are due to failure to meet the stipulated specifications as a result of actions of the Designer. Notwithstanding the above provisions, if an acceptance test has been agreed on, the Designer will repair such defects in the Software that are reported by the Customer in writing within 14 days after the end of the test period, insofar as the defects are related to changes/corrections made during the test period. 9 Lapse of special warranty provision The Designer is not required to repair defects in the Work if they were caused by the Customer itself, by third parties or by changed or other circumstances of which the Designer was not and should not have been aware on the conclusion of the agreement. The warranty also lapses if the Customer makes or commissions changes to the Software or other parts of the Work without the Designer’s consent, or if the Customer itself attempts to repair or commission the repair of a defect in any manner without the Designer’s written consent. 10 Provision of other services by the Designer The Designer provides other services, such as applying for domain name registrations and establishing security, inspection, maintenance and system management procedures, only if they expressly form part of the assignment. 11 Privacy If the Designer is required to process personal data of the Customer, or the Customer’s customers, in respect of the services to be provided, the Designer is regarded as the “processor” and the Customer as the “controller” within the meaning of the Wet bescherming persoonsgegevens (Personal Data Protection Act) and an additional data processing agreement is concluded if the parties so wish. When recording the technical specifications as referred to in 3/4 Additional Conditions of Interactive Media Design /BNO, most recently revised in March 2017 Articled 2 of these Additional Conditions, it is then specifically stated what appropriate technical and organisational measures have been taken to protect the personal data against loss or wrongful processing. 12 Engagement of hosting & internet providers and other service providers If the Designer recommends the engagement of other service providers or suppliers, such as certain hosting & internet providers, with a view to the functioning or creation of the Work, the Designer is not liable if those service providers or suppliers fail to fulfil their obligations. 13 Extra work If the Designer is required to perform extra work due to a change in or expansion of the assignment, due to late, incorrect or incomplete supply of Software, materials or data, due to the repair of the design or the Work as a result of incorrect or improper use, due to permission having to be obtained from owners or due to the need to assist employees or suppliers of the Customer outside the terms of reference (on request or by force of circumstances), a fee is due for that work regardless of whether a fixed price was agreed on, which fee is then based on the rates charged by the Designer at that time. 14 Use of the Work The Customer may use the Work in the agreed manner when it has performed all its obligations under the agreement. The use made of the Work must be correct and proper at all times. In the event of doubt or uncertainty as to whether a certain manner of use is permitted, the Customer must consult with the Designer before using the Work in that manner. 15 Intellectual property rights For the purpose of these Additional General Conditions, the term “intellectual property rights” as used in Article 4 of the BNO General Conditions expressly means copyrights, database rights, neighbouring rights, trademark rights, design rights, patents, domain name rights, know-how, commercial knowledge, trade secrets and all similar rights that have arisen anywhere in the world, regardless of whether they are eligible for registration, including any application to that effect. 16 Licence for the use of the Work If the Customer performs all its obligations under the agreement with the Designer, it is granted a licence to use the Work as referred to in Article 5 of the BNO General Conditions. With regard to the Visual Design that forms part of the Work, the licence referred to in paragraph 1 of this article is exclusive and non-transferable. With regard to the Software and the Source Code developed by the Designer and the related technical and other documentation, the licence referred to in paragraph 1 of this article is non-exclusive and non-transferable, regardless of whether the Software and the Source Code were produced as part of the assignment. The Designer remains the owner of the copyright in the Work, unless the parties agree on a transfer of rights in accordance with Article 4.2 of the BNO General Conditions. 17 Third-party material The Customer itself is responsible for obtaining permission for the use of third-party material that is protected by copyright or any other intellectual property rights and that will be used in the Work, unless the parties expressly agree that the Designer is responsible for doing so. To the extent possible, the Designer will state beforehand for what material permission for use must be obtained. At the Customer’s request, the Designer can apply for a cost estimate at the supplier in question with regard to the material proposed by the Designer for use in the Work. For these purposes copyright protected third-party material includes software, house style elements, fonts, photographs, musical and other compositions and visual/audio-visual works. If necessary, the Designer may request proof that the permission referred to in the preceding paragraphs has been fully and properly obtained. The Designer is in no event liable if the licences referred to above have not been obtained or are incorrect or incomplete. The Customer indemnifies the Designer against any third-party claims in that regard. 4/4 Additional Conditions of Interactive Media Design /BNO, most recently revised in March 2017 18 Changes In the case of an assignment for the development of a mobile or other application or website, or a design that is equivalent to such an application, the Customer may make changes to the content of the databases, the underlying pages and the tree structures, for day-to-day use, within the limits set by the Designer. Without the Designer’s prior written consent, however, the Customer may not change: a. the Visual Design; b. the home page; c. the basic structure; d. the Software; or e. the navigation system. The Designer may not withhold the consent referred to in the preceding paragraph on unreasonable grounds. If the Customer wishes to have changes made, it must first give the Designer the opportunity to do so. A fee is then payable based on the rates charged by the Designer at that time. 19 Source Code and protection of Software The Designer will not transfer to the Customer the Source Code of the Software and the technical documentation drawn up during the development of the Work. If the Customer so wishes or if the nature of the assignment so necessitates, the Designer may be obligated to place the Source Code in escrow with a third party. The escrow costs are then payable by the Customer, unless the parties agree otherwise or the escrow arrangement already existed. Insofar as the Customer has access to the Source Code, it may not use it for any purpose (other than that for which it may have been placed in escrow) and may not disassemble, decode, decompile, reverse engineer or change it, or provide third parties with information about it, without the prior written consent of the owner of the Source Code. The Designer may protect his/her Software by means of technical or other measures, in which case the Customer may not remove or circumvent that protection. 20 Enforcement of rights In the event of infringement of the Designer’s rights in respect of the Work, the Designer hereby authorises the Customer, at its own expense, on behalf of the Designer and on its own behalf, to enforce those rights and to claim damages and the surrender of profit both in and out of court. The parties must provide each other with all the information required if measures are taken to that end. If legal measures are taken as referred to in the preceding paragraph, the Customer is entitled to 60% and the Designer to 40% of the proceeds of any claim honoured or awarded to the Customer, after deduction of any judicial and extrajudicial costs and costs of legal assistance, insofar as the infringing party is not ordered to pay those costs. If the Customer refrains from taking such legal measures, the Designer himself/herself may take legal measures against the infringing party or parties. The damages or compensation payable by a third party on the grounds of these legal measures will then benefit the Designer in their entirety, whereby the reasonable costs incurred by the Customer in assisting the Designer must be reimbursed to the Customer. 21 Right of attribution In publicity surrounding the Work the Customer must ensure that the Designer’s contribution is clearly apparent. If it has been agreed that third parties will be involved in changing or elaborating the Work, the Customer must also obligate such third parties to clearly state the Designer’s contribution in publicity surrounding the Work or an elaboration of the Work. The Designer may state his or her name in the Work in a modest manner. The manner in which that will be done must be agreed on in consultation. Although this specimen has been drafted with the utmost care, BNO accepts no responsibility for harm or loss of any kind whatsoever that might arise from any defect in the terms of this specimen or from its use.
